Terms of Service

These terms govern access to and use of Sync CMMS, provided by Gacnt Software Inc.

1. Acceptance of Terms

By creating an account, starting a trial, or using Sync CMMS, you agree to these Terms of Service and related policies.

2. Eligibility and Account Responsibility

You must have authority to bind your organization. You are responsible for account credentials, user invites, and activity under your account.

3. License Grant

Subject to these terms, we grant a limited, revocable, non-exclusive, non-transferable license to access and use Sync CMMS for internal business operations.

4. Prohibited Use

You may not reverse engineer the service, misuse APIs, attempt unauthorized access, upload malicious code, or use the service in ways that violate law or third-party rights.

5. Subscriptions and Billing

Paid features renew automatically unless canceled. Trial conversion, pricing, refunds, and cancellation are governed by the Billing and Refund Policy.

6. Intellectual Property

Sync CMMS and all related software, content, and trademarks remain the property of Gacnt Software Inc. and its licensors.

7. Disclaimers

The service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Limitation of Liability

To the fullest extent permitted by law, total liability for claims arising from these terms will not exceed the amounts paid by your organization in the 12 months preceding the event giving rise to the claim.

9. Indemnity

You agree to indemnify and hold harmless Gacnt Software Inc. from claims arising from your misuse of the service or violation of these terms.

10. Suspension and Termination

We may suspend or terminate access for non-payment, legal violations, abuse, or security risk. You may stop using the service at any time.

11. Governing Law and Dispute Resolution

These terms are governed by applicable United States law. Any dispute will be resolved by binding arbitration on an individual basis, and both parties waive class actions and jury trials, except where local mandatory law does not permit such waivers.

12. International and Local Law Fallback

If you access the service from outside the United States, you are responsible for local compliance. Where required local consumer or privacy law conflicts with these terms, mandatory local law controls to that extent.

13. Changes to Terms

We may update these terms. Material updates will be posted with a new version date. Continued use after updates means acceptance of revised terms.
